The meeting was called to order at 9:02 AM.

Mayor Taylor in the Chair.

Mayor Taylor advised that the Municipal Offices were open to the public, and that members of the public could attend this meeting in person or view the live stream available at Newmarket.ca/meetings. Residents who would like to provide comment on an item on this agenda were encouraged to provide their feedback in writing through email to Legislative Services at [email protected] or by providing a deputation electronically or in-person. He advised residents that their comments would form part of the public record.

The Deputy Clerk provided the following additions to the agenda:

  • Item 4.1 – Presentation – NT Power – presentation materials were added
  • Item 4.2 – Presentation – NT Power – presentation materials were added
  • Item 5.1 – NT Power – report materials were added

    1. That the additions to the agenda be approved.

Mayor Taylor provided introductory marks including an overview of the NT Power process to date.

Brooke Thiessen, Deloitte LLP provided a presentation regarding NT Power including an overview of the electric utility landscape, electric utilities industry overview, energy trends, current state of Ontario's energy sector, background on the transaction, an overview of the Alectra offer, financial considerations of the transaction, transaction rationale, and key considerations of a transaction with Alectra. 

Mark Rodger, Borden Ladner Gervais LLP provided a presentation regarding NT Power including transaction background, go-shop process, timeline, go-shop results, summary of Securities Purchase Agreement, key agreement terms, employment guarantees, and Ontario Energy Board approval timeline.

Members of Council thanked Staff and queried the presenter regarding Ontario Energy Board approval timelines.

    1. That the presentation from Mark Rodger of Borden Ladner Gervais LLP (“BLG”) dated March 2, 2026, be received; and,

    2. That the presentation from Brooke Thiessen of Deloitte LLP dated March 2, 2026, be received; and,

    3. That the report entitled NT Power First of a Kind Venture with Alectra dated March 2, 2026 be received.

Council did not resolve into Closed Session.
